TERMS AND CONDITIONS OF SALE AND USE (T&Cs)

1. LEGAL INFORMATION AND SCOPE OF APPLICATION

1.1. The Publisher (The Seller)

The website https://nfcard.conciergit.fr and the NFCard solution are published and sold by: ConciergIT, a Simplified Joint Stock Company (SAS) with a capital of €1,000, registered with the Trade and Companies Register (RCS) of Salon de Provence under number 953 266 814 00011, whose registered office is located at: 4 Lotissement Les Hameaux de la Cremade, 13122 Ventabren, hereinafter referred to as "ConciergIT" or "The Company".

1.2. The Purpose

These Terms and Conditions of Sale and Use (hereinafter "T&Cs") define the rights and obligations of the parties in the context of the sale of connected business cards (NFC/QR Code) and access to the digital profile management platform (SaaS).

1.3. Acceptance

Any order placed on the website or via quote, as well as any use of the NFCard solution, implies irrevocable, full and complete acceptance of these T&Cs by the Customer (hereinafter "The Customer" or "The User"). The Customer waives the right to rely on their own purchase conditions or other documents.

2. PRODUCTS AND SERVICES

2.1. Nature of Products

The products sold (PVC cards, Metal, Wood, Stickers, etc.) are physical media integrating NFC technology and/or a QR Code linking to a digital profile hosted by ConciergIT.

2.2. Visuals and Compliance

The photographs and visuals presented on the website are indicative and non-contractual. Colour variations may occur between the digital file on screen (RGB) and the printed product (CMYK or laser engraving). These variations cannot be subject to any claim or refund.

2.3. SaaS Service Availability

Access to the digital profile is provided in "SaaS" mode. ConciergIT reserves the right to develop, modify or remove platform features without notice, for improvement or technical constraint purposes, without this giving rise to compensation.

3. ORDERS AND CUSTOMISATION (STRICT CLAUSE)

3.1. File Responsibility (Logo and Design)

The Customer is solely responsible for the quality of files (logos, images) transmitted for customisation. Required formats: Vector (.ai, .svg, .eps) or high definition (300 dpi). Disclaimer: ConciergIT cannot be held responsible for an unsatisfactory printing result (blurry, pixelated, dull colour) if the source file provided by the Customer does not meet professional printing standards. No free reprint will be granted for this reason.

3.2. Validation and Proof Approval (BAT)

If a digital proof is submitted, its validation (by email or via the interface) constitutes final acceptance. In the absence of a formal proof, the launch of the order by the Customer constitutes validation of the transmitted elements. The Customer acknowledges that after production launch, no modification is possible.

4. PRICING AND PAYMENT

4.1. Prices

Prices are indicated in Euros (€). All prices are understood as Excluding Tax (excl. tax). Shipping costs are included in the card price.

4.2. Payment Methods

Online orders: Payment is due immediately upon order by credit card via our secure provider Stripe. Bank transfer: For professional Customers or authorised resellers opting for transfer, the order will only be launched into production upon actual receipt of funds in ConciergIT's account, unless otherwise agreed in writing.

4.3. Payment Delay and Termination Clause

In case of payment default (direct debit rejection, unpaid invoice at maturity for professionals): Late payment penalties equal to three times the legal interest rate will be applied automatically. A flat fee of €40 for collection costs will be due. PROTECTIVE MEASURE: ConciergIT reserves the right to immediately suspend access to the digital service (deactivation of the NFC card and online profile) until full payment regularisation. This suspension cannot give rise to any claim for damages from the Customer.

5. DELIVERY

5.1. Deadlines

Manufacturing and delivery deadlines are given as an indication (generally observed). A delay, whatever it may be, cannot justify order cancellation, merchandise refusal or a claim for damages.

5.2. Risks and Transport

Products travel at the recipient's risk. It is the Customer's responsibility to check the condition of the package upon receipt and to make written and precise reservations with the carrier within 3 days in case of damage or shortage.

5.3. Address Error

If a package is returned to ConciergIT due to an incomplete or incorrect address provided by the Customer, or for non-collection of the package within the deadlines, reshipping costs will be charged to the Customer.

6. RIGHT OF WITHDRAWAL (TOTAL EXCLUSION)

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts concerning the supply of goods made according to consumer specifications or clearly personalised. AS A CONSEQUENCE: All NFCard cards and products being customised (unique encoding, logo printing, specific QR code), they are NEITHER TAKEN BACK, NOR EXCHANGED, NOR REFUNDED. The order is firm and final upon receipt of payment.

7. WARRANTIES AND LIABILITIES

7.1. Technical Compatibility (NFC)

ConciergIT guarantees the proper functioning of NFC chips when leaving the workshop. Important warning: NFC technology requires a compatible phone (most recent smartphones). ConciergIT cannot be held responsible if the Customer's contact's phone is not NFC compatible, if NFC is disabled, or if a protective case that is too thick prevents reading. The QR Code is provided as a universal alternative solution. Third-party incompatibility with NFC technology does not constitute a product defect.

7.2. Limitation of Liability (SaaS Service)

ConciergIT implements all reasonable means to ensure the availability of the online service (obligation of means). ConciergIT cannot be held responsible for service interruptions due to: Technical maintenance operations. Failures at hosting providers or Internet service providers. Cyberattacks or force majeure. In any case, ConciergIT's liability is strictly limited to the amount of the product or service paid by the Customer. ConciergIT will not be liable for any indirect damage, loss of profits, loss of data or commercial damage.

8. INTELLECTUAL PROPERTY

8.1. ConciergIT Rights

The "NFCard" brand, the software solution, the website, interface graphics and technical know-how remain the exclusive property of ConciergIT. Any reproduction, even partial, is prohibited.

8.2. Warranty of Eviction (Customer Content)

The Customer guarantees that they hold all intellectual property rights to the elements (logos, images, texts) they transmit to ConciergIT for printing or that they host on their profile. The Customer undertakes to indemnify ConciergIT against any third-party claim relating to the violation of copyright or intellectual property rights related to Customer content.

9. DATA PROTECTION (GDPR)

The data collected is necessary for order execution and service provision. It is not sold to third parties. The Customer is informed that the data they enter on their NFCard profile (phone, email, social networks) is intended to be public and shared via their card. By using the service, the Customer consents to the dissemination of this professional data. For any deletion or modification request (Right to be forgotten), use our contact form.

10. PROHIBITED USE AND SECURITY

It is strictly prohibited to use NFCard services to host or disseminate illegal, defamatory, racist, pornographic or malicious content (phishing, viruses). In case of violation, ConciergIT reserves the right to ban the Customer and permanently deactivate their cards, without notice or refund.

11. APPLICABLE LAW AND COMPETENT JURISDICTION

These T&Cs are subject to French law. Any dispute relating to the interpretation, execution or termination of the contract, in the absence of an amicable agreement, will fall under the exclusive jurisdiction of the COMMERCIAL COURT OF AIX-EN-PROVENCE, even in case of multiple defendants or third-party proceedings.
